SUPPORTER TERMS & CONDITIONS

These terms apply to any contribution made to 1401 Films through our website or any other channel we direct you to. By making a contribution, you agree to these terms. If you don't agree, please don't contribute.


"1401 Films," "we," "us," and "our" mean 1401 Films LLC, a California LLC doing business as 1401 Films. "You" means the person or organization making the contribution.


1. What a contribution is

A contribution is a voluntary gift to support the work of 1401 Films as a whole. It is not tied to a specific film or project unless we agree to that in writing.

A contribution is not a purchase of goods, a loan, an investment, a pre-sale, or a membership in the company. You receive no ownership, equity, profit share, revenue share, royalty, interest, or financial return of any kind, now or in the future.


1401 Films decides how contributions are used. Funds may go toward production, post-production, festival costs, distribution, equipment, operations, or any other company purpose.


2. Tax status

1401 Films is a for-profit company. It is not a 501(c)(3) charity, and contributions are not tax-deductible as charitable donations. We are not giving tax advice. Talk to your own tax advisor about your situation.


3. Support tiers

Your tier is based on the total of your contributions over any 12-month period. Tier benefits are a thank-you. They are offered at our discretion and are not something you are buying.


Supporter (under $1,000). Our thanks, updates on what we're working on, and, if you'd like, your name listed among Special Thanks in a project's credit.


Founding Member ($1,000 to $4,999). Everything in Supporter, plus the chance to join an online meeting with the 1401 Films team. We schedule these meetings, set their length and format, and may hold them as group sessions. We'll make a reasonable effort to find a time that works, but we can't guarantee one that fits every schedule. Meetings may not be recorded without our written permission.


Producer Circle ($5,000 and above). Everything in Founding Member, plus:

  • Potential Associate Producer credit on one future 1401 Films project.

  • Invitations to premieres and screenings of 1401 Films work.


4. Associate Producer credit

The Associate Producer credit is a possibility, not a promise. 1401 Films decides, in its sole discretion, whether a credit is given, which project it appears on, its wording, its placement, and its size. Credits may be shortened or removed by distributors, festivals, broadcasters, or platforms, and we are not responsible for that.


The credit is honorary. It recognizes your support. It does not make you a producer of the project, give you any role, duties, or authority on the production, or create an employment, partnership, or agency relationship. It does not entitle you to any fee, compensation, backend, or share of income from the project.

You may decline a credit or ask to be credited under a different name. If a contribution is reversed or refunded, any credit tied to it may be withdrawn.


5. Premieres and screenings

Invitations depend on venue capacity, festival and distributor rules, and availability. Some events will be invite-only or have limited seating. We can't guarantee an invitation to any particular event. You are responsible for your own travel, lodging, and other costs unless we tell you otherwise in writing. Invitations are for the person named and are not transferable unless we agree.


6. No ownership and no creative control

This applies to every tier, including Producer Circle.

Contributing does not give you any ownership of, or rights in, 1401 Films or anything it makes. That includes scripts, footage, films, series, titles, characters, music, artwork, ideas, trademarks, and all other intellectual property, whether it exists now or is created later. All of it belongs to 1401 Films or its rights holders, permanently.


Contributing does not give you any say in what 1401 Films makes, how it makes it, who it works with, or how it runs the company. You have no approval, consultation, or veto rights over creative, editorial, casting, hiring, distribution, or business decisions. We're always glad to hear from supporters, but any feedback you give is voluntary, and we're free to use it or ignore it without owing you anything.


7. Unreleased material

At meetings, screenings, or in supporter updates, we may share unreleased footage, cuts, or plans. You agree not to record, copy, post, or share any of it without our written permission. We may remove benefits from anyone who breaks this.


8. In-kind contributions

If you want to contribute goods or services instead of money (equipment, locations, post-production services, and so on), please contact us first. We decide whether to accept an in-kind contribution. If we accept, we'll agree with you in writing on its value for tier purposes. In-kind contributions are also not tax-deductible, and they don't give you any rights described in section 6.


9. Refunds

Contributions are final and non-refundable, except where required by law or where we agree a payment was made in error. If you think a payment was a mistake, contact us within 14 days at info@1401films.com.

If you file a chargeback or dispute a payment that was valid, we may suspend your tier benefits while it's resolved.


10. Who can contribute

You must be at least 18 years old, or the legal age of majority where you live, and you must be contributing your own funds or funds you're authorized to use.

We may decline or return any contribution for any reason, including where accepting it would conflict with applicable law, including U.S. sanctions and export control rules. We may also decline a contribution that conflicts with our values or editorial independence.


11. Recognition and privacy

Unless you tell us otherwise, we may list your name on our website or in credits as a supporter. You can ask to stay anonymous at any time. We won't publish contribution amounts.


Payments are processed by a third-party provider (Stripe). We don't store your full card details. We use your contact information to process your contribution, deliver tier benefits, and send updates, and we don't sell it. See our privacy policy for details. You can opt out of updates at any time.


12. Conduct

Tier benefits depend on treating our team, collaborators, and other supporters with respect. We may revoke benefits, without refund, from anyone who harasses, threatens, or tries to pressure us over creative or business decisions.


13. You can't use our name

Contributing doesn't give you the right to use the 1401 Films name, logo, or film titles, or to present yourself as speaking for or being affiliated with 1401 Films, beyond accurately saying you're a supporter or credited Associate Producer.


14. If plans change

Filmmaking is unpredictable. Projects may be delayed, changed, or cancelled, and events may be rescheduled or moved online. None of this entitles you to a refund. If 1401 Films stops operating, tier benefits end.


15. Limitation of liability

To the fullest extent allowed by law, 1401 Films' total liability to you for anything related to your contribution is limited to the amount you contributed. We're not liable for indirect, incidental, or consequential damages.


16. Changes to these terms

We may update these terms. The version posted on our website when you contribute applies to that contribution. For recurring contributions, updated terms apply to payments made after the update.


17. General

These terms are governed by the laws of the State of California. Any dispute will be handled in the state or federal courts located in Los Angeles County, California. These terms are the full agreement between you and 1401 Films about your contribution, and replace any earlier statements. If any part is found unenforceable, the rest still applies. Benefits are personal to you and can't be transferred or sold.
